Need an outside opinion on a proposed trade. Everybody here has been a big help in fantasy throughout the years so turning to you guys once again

I have been offered P. Manning and Miles Austin for J. Charles and either L. Fitzgerald or M. Williams (TB)
#1 would you do this trade, and #2 who would you give up if you were me between Fitz and Williams?

Here is my roster:

QB -Big Ben, Kitna
RB - Rice, LT, Charles, Addai, Blount
WR - Fitz, Floyd, M. Williams (TB & SEa), Welker, Sidney Rice

Non PPR league that starts 1 QB, 2 RB's, 3 WR's, and 1 floater
